Our board: Where is your integrity, judgement and courage?

I got this open letter from board. I can not say anything except this: This is Pathetic.

Board is going to seek legal action to punish those people who post email annoymously and to those who express their concern and show their cares about our beloved community.

Should board protect the whistle blower and seek the legal action against those who abuse school property, who use school property for her own personal agenda, who refuse to open financial statement.

Have you count the members who attend the board meeting. Since it is a board meeting, why there are only 7 board member but there are 11 none board members. Do I remember culture revolution? Yes, I do.

Have you see any further email from board? They have indicated that they are not going to tolerate any behaviour that demage the school reputation? Who demage the school reputation so far? Are those whistle blower?

I do not think the letter represent entire board, many board members have their integrity and moral standard. Please use your courage, please show us your integrity. You have nothing to lose but earn our trust and respect.

Can they represent PTA, you and me? Do you get invitation to this meeting?

I did a count, only five people are board members who have the board voting right. What is this meeting feel like if you are in that meeting? A hustle environment for sure by some one with their own personel agenda.

Do I still remember the cultual reveloution? Yes I do.I hope some of you see the similarity here.

Dear NWCS parents:

Some of you may have sensed that something abnormal is going on in NWCS. Several emails got delivered to your inbox in last couple of months, starting with the announcement of principal hiring, then the back and forth announcements of the Annual General Membership Meeting (AGMM), and lately the email chain from a parent group. Though only containing bits and pieces of information, they are both disturbing and confusing to many of you. Worse, they may pose danger to damage the image of NWCS as a whole.

We, the three bodies of NWCS (the board, PTA and the school management team), do owe you all, each and every single parent who cares about NWCS, the whole picture of what happened/happening at NWCS. We want to offer some answers to your questions.

To do so, a meeting was held in the LWTC Cafeteria on May 9, 2007 with parents/PTA members, and Board Members. The purpose of the meeting is to enhance the communication and better understanding between PTA/parents and board members.

The meeting agendas are as follows:

1. Stop any miscommunications. Stick to the meeting results as well as By-Laws of NWCS and NWCS Policies and Guidelines.
2. PTA and board to present their list of issues. (Each side sends in a list of issues prior to the meeting and distributes to the attendees.) 3. Discuss a special election (procedure, timing) to fill four board vacancies left by three term expired members (Wensi Sun, Zhantao Yang & Simon Zhang ) and one by Zhang Yan and PTA organization election.4. Set up a team to review/revise the school By-Law and guidelines.
Attached (also see below) is the meeting minute, including agreed resolution on various issues, for your record and review. Your feedback will be very much appreciated.

Should you have any questions or comments, please feel free to contact all or any one on the list, through the communication channels you feel comfortable with (e-mails, phone calls or face to face meetings). We will pool your questions and set up Q&A sessions on one of the remaining Saturdays in the near future before 2006-2007 school year ends to address your questions/concerns.

General Consensus:
1. The meeting minutes will be published to all parents as an Open Letter. èAll agree.
2. School Compensation Guidelines that the Board has been working on should be decided by the New Board (see definition in 5) then publish. èAll agree.
3. The two retired Board members, Mr. Zhidong Wang and Mr. Jim Miao, will stay on the Board and attend Board meetings until June 7, 2007. The purpose of their involvement is to assist Board transitions. But they do not have voting power and won’t be part of the new school principal hiring process. è12 out of 19 voted yes; the remaining 7 didn’t vote because they are either current or retired Board members.
4. The two Board members whose term was in dispute, Mr. Wensi Sun and Mr. Simon Zhang, will remain on the board as regular Board members. è11 out of 15 voted yes. The following 3 didn’t vote – one of them was Mr. Wensi Sun himself, another two were the meeting coordinators.
5. The New Board consists of 7 members until the remaining two vacancies are filled (after which the New Board will consist of a full 9 regular members). It includes the 5 members whose term does not have any dispute, plus Mr. Wensi Sun and Mr. Simon Zhang, whose term is no longer in dispute.
6. The New Board has responsibility to take appropriate actions with regard to Mr. Simon Zhang’s email. The decision will be published to the General Membership. è12 out 15 voted yes.
7. The New Board has responsibility to fill the two remaining Board vacancies following the normal procedure according to the By-Law. The New Board shall decide the outcome within reasonable timeframe (1 week). The PTA will provide a candidate list to the New Board for voting and approval. The Board vacancies can only be filled with PTA recommended candidates.è14 out 15 voted yes. 1 abstained.
8. The New Board has responsibility to hire the next principal. Such decision shall be made by the New Board after it completes with all 9 regular members.
9. The By-Law is deficient and needs to be reviewed and revised. A team formed of all three bodies of school, i.e. the board, PTA and school admin. will work on the By-Law review and revision. The draft will be presented to all PTA members for discussion and comments in the beginning of 2007-2008 school year and will be finalized by vote and approval of members in a special All Member meeting to be scheduled by the PTA Chair.
10. The PTA retains the By-Law rights to call for Special Membership Meetings for the purpose of settling disputes about the Board's composition and legitimacy as well initiating impeachment process against any Board Members who intentionally violate school By-Laws and/or Guidelines.
Notes on the voting:
There were a total of 19 participants. Some had to leave during the meeting and didn’t participate in all the voting.

Our principal's apology

Do you think this apology sincere enough? Do you think this apology touchs any key issues? We often teach our children to be honesty. Do you think our leadership team have the same integraty to continue leader our children. What is the really motivation behind this "sorry" letter and the first email our principal sent? As an outsider much like many of you, I do not know exact the detail where it all started and why our school is in such deep trouble. I believe our principal, and the board own us an answer and own NW chinese community an answer. The reputation that all of parents work so hard to established, has been tarnished.

It all start with this letter

Is XXXX really a big deal? Does people have the right to editing all the email thread and resent partial of the thread an to entire school distribution list? When school financial statement is in question, what should our school excecutive branch do first? Find the discrepency first or expose it to the world first? Who has the right to use the school email system? What information deem proper via this email system and what information is inproper? Should financial statement open to all parent? I open it up for everyone to discuss.

Nancy Wong Hi Dear Lin,This will be my last email about this topic. Please read through my email carefully, word by word. The requirement to have Chair to be the signer is made by BECU, not me. At the time, Feb 22nd, Jim is still the Chair, not yet retired. So he has to be the signer. BECU has access to the list of all registered non profit organizations. NWCS is in the system, they even told me who the chair is. If you don’t think Jim should be the signer, you tell me who the one should by that time. By the way, what's the privilege of being the signer is the question about my integrity or Jim’s. If all board members have the sprit of volunteering hours and hours to help NWCS, why we take away $100K from our kids tuition. Again, take it easy!!

The financial statements I sent to you earlier clearly show the loss & gain for the last 3 semesters (not just 2) and the summer. There is no need to spend more time on the fact.

About the signer for the CD, if you remember, you asked me if I wanted to be one of the signers. I told you that I was toward the end of my principal term, plus, according to your email, “I suggest whoever has the longer period of time serve in the board be the signer”. Therefore, I told you that it is better to have someone else (other than retiring board directors and except who must be on the title per BECU) to sign the CD.
Changing names of signers doesn’t make anyone happy. Develop a clear & transparent system is what we are looking for.

Look at the answer 2 & 3, you have totally different point on the issue of who should be the signer.

This will be the last email from me for this topic by taking Zhihua’s suggestion.

1. Financial Report: The question was not -$4356 vs. -$640, but -$4356 vs. -$7300 on my report and your report. I always report the operating net revenue. $3715 income is generated from the CD not school operation. The total operation loss is -$4356 for Spring, 06 that reflect the fact of the school financial status at the period of the time.2. CD in BECU: I suggest you call BECU to confirm the owner and signers on the account. Please ask a witness listen in your conversation while you call. Again. Here is the phone # 206-439-5700 or 800-233-2328. You know our tax ID. Please let all of us know the result. The formats of the deposit from each bank are different. I have no control of how and what information they choose to print on the CD and shouldn’t be blamed on any confusion that caused by the bank. I can't ask them change their format. Wondering are we new to this country? If you and your spouse or any significant others have a joint account in the bank or mortgage company, some bank only show the primer account holder’s name in the statement. The reason why Jim Miao is the co-signer is because he is the Chair of the Board of directors that registered in State of Washington. Until the new chair is elected and registed in the State, Jim has to be the singer. I wish they could put you as signer if you want to spent 4 hours and 4 trips going back and forth between bank and school office, gathering all the documents, comparing the rate in 5 different banks, then you would be the signer. wow, isnt' that an honor?!3. Jay, to answer your question. For BECU, except Chair of the board, any officers could be the signer. You could be the one if you are still in Board. As a volunteer to be the board member/treasurer, I have no interest in control school financial but oversee if school operation and board following the by-law, school finical guideline and complies with IRS rules. Could someone with access to our financial guidelines review and look up applicable requirements as to signors on school bank accounts? It doesn't seem to be a good practice to have both signors on a bank account to come from the same branch of the school organization structure (the Board). There should be a check and balance system built into it, such as Board Chair (or Board Treasurer) and the Principal as signors.

I don't have anything against you guys, Jim and Nancy. I just feel that would be a reasonable arrangement if we are to follow the financial guidelines.

And of course, it goes without saying all school bank accounts should list the school as the sole owner and have the correct school address on same.

First at all, Please look at the line 63 on the spring 06 file, the net profit is -$640.70. You are right, the line 57 is -$4,356.09. We used different number to count the school revenue.

Secondly, I do not understand why the certificate we received from BECU only shows your name on it with a wrong school address. If Jim Miao is the joint singer, his name should be on it.

Also, there is no need to have the chairman’s name on the CD from your email stated below. Plus, everyone knows that the previous chairman already retired on May 5, 2007. Please look at the email you sent to us on February 22, 2007.

As the principal and the financial committee member, I have been trying to communicate with the board, include you, the treasurer; however, many times my inputs were ignored. I just showed the facts to the parents because I know everything I do is for our school. There is no need to hide what I think and what I have done.

I closed the CD 239934 in Bank of America which matured on Jan 31st.
Yinging, based on your Sept report the CD should be matured on Feb, 17th. I just hung up the phone with BOA and was told the CD was matured on Jan 31st. So it has been renewed automatically for about a month with interest rate of 2.15%. It's lucky the CD originally was setup as 9 months risk free. So we won't be penalized for 6 months interest(about $364). I moved the balance of $53,994.89 to our Summer account for now and planning to open a CD with $100,000 in BECU with interest rate of 5.10% in next 2 weeks. (We need to move $20,000 from the daily account to Summer account).

Yinging, please check the maturity date for CD 301207702 in Washington 1st. By the way, do you know who keeps the original certificate?

We need at least 2 signers on each CD. Anyone in Board could be the second signer. To avoid the name change process in future, I suggest whoever has the longer period of time serve in the board be the signer.

ZhanTao, I would suggest an agenda item, Standard Process of Financial Data/Documentation in our next board meeting.

I was comparing Spring 06 not Fall 05-06. Please look at the file name very carefully. Since the Financial Statements for each semester are in the exact same format. It¡¯s really easy to get confuse of which file you are looking at. The second attached file in your email clearly state, FS Spring 06 Revision 6.The net revenue in cell M58 does show -$4356.09 ( my number, isn't it?) The accountant sent me the email with the latest version of FS on March 19th 5:13pm and cc Jim and you. You must confuse of the files you sent out. The -$7300.18 loss was Fall semester in 05-06. I am wondering if you have misreported the Fall FS instead of Spring 06 FS in our annual meeting. I was reporting out a year cycle FS, Spring, Summer and Fall. I don't know why we would report Fall, Spring, Summer and Fall.

I sent email to inform the Board of Directors the date I have this CD opened in BECU. Hope you still recall my message, I checked 5 banks for their interest rate. BECU offered the highest rate. I don¡¯t know why you didn¡¯t question me 2 months ago if you confuse about my email but now.

As the principal and member of finance committee of Board of Directors, I thought you should check with me if you have any questions about banking issue or financial report rather than spreading the untruthful information to parents.

I am writing this email in response to your question regarding the difference on the financial statement that Zhou Lin and I both showed in the All Member's Meeting today.
The question was, for Spring 06 financial report, ZhouLin showed about $7000 loss, mine report is $4359 loss. Mr. Hu asked why we showed different results.
I have checked my file again, based on our accountant's latest report FS Spring06 Revision6(2), my number is correct. I can provide an excel file to all of you if Board decides to release this information. As I mentioned in the meeting, the Fall semester income could be changed too as there are still outstanding expenses haven’t made to the book yet.
If anyone has more questions, please feel free to contact me. I'll be happy to provide further explanation.

All angles of feedback and suggestion are absolutely welcome, in fact, urgently needed for the new principle hiring. Assisting the school finding the best principle is the right and responsibility of all parents.
However, the board of directors of Northwest Chinese School had an all member agreed upon process of this open hiring since two months ago. The process is legitimate in compliance with the by-law and all relevant
guidelines. Until this process is challenged and re-voted by the board, it should not be altered.
All of our time, energy, and diligence should be best used to serve the Chinese community, instead of pursuing any other agenda. Looking ahead 5, 10 ¡­ years, I would encourage all on the line apply your best intelligence in thinking and independent judgments!

8. To give every candidate the chance to be asked question, the maximum 3 questions can be asked to one candidate continually.

What the XXXX is going on inside NWCS

Ok. I fed up those no sense. Our Northwest Chinese School reputation has been seriously damaged. Open up and let every parent know what is exact going on is the only way we can do as parents.

Tomorrow, I will start post in cronical sequence, all the email I recieved include principal's infamous email, 19 persons so called PTA special meeting minutes, Board response email.
